R.A.F.S Standard Terms and Conditions of Sale

1. Definitions

1.1  The Seller, RAFS, we and us mean Raised Access Flooring Supplies Limited. The Buyer means the purchaser. The Contract means the sales agreement accepted by RAFS.

1.2  Goods means the raised access flooring and related products identified in the Contract. Services means work expressly included in a Contract with RAFS. A Business Buyer purchases for business purposes. A Consumer is an individual acting wholly or mainly outside their trade, business, craft or profession.

2. Basis of sale

2.1  These Terms apply to sales by RAFS unless a variation is agreed in writing. Nothing in these Terms excludes rights or obligations that cannot lawfully be excluded. Schedule A applies to Consumer purchases and takes priority over conflicting provisions.

2.2  Product supply does not include installation unless expressly agreed. Installation enquiries referred to RAFI must have their scope, price and contracting company confirmed separately; a referral alone is not an installation contract.

3. Quotations and orders

3.1  Quotations are valid for 30 days. Orders are subject to acceptance by RAFS and stock availability.

3.2  The Contract is formed when RAFS sends written confirmation accepting the order. An automated acknowledgement of receipt is not acceptance unless it expressly confirms acceptance. Any price change before acceptance must be disclosed and agreed; if an order is not accepted, any payment taken for it will be refunded.

4. Prices

4.1  Prices exclude VAT and other applicable taxes unless stated otherwise. Before order acceptance, prices may change to reflect changes in costs. The accepted price, applicable taxes and agreed delivery charges form part of the Contract. Consumer price information is addressed in Schedule A.

5. Payment

5.1  Cash and non-credit accounts: immediate payment is required on receipt of the invoice and before Goods are supplied.

5.2  Approved credit accounts: [CREDIT PAYMENT PERIOD TO BE CONFIRMED BY RAFS BEFORE ISSUE]. Any different account-specific terms must be agreed in writing.

5.3  Overdue Business Buyer invoices carry interest at 2% per month, subject to applicable law.

5.4  No payment surcharge will be charged where prohibited by law. Any permitted surcharge must be disclosed before the order is placed and comply with applicable legal limits.

Delivery, inspection and after-sales

Clauses 6-9

6. Delivery

6.1  Delivery charges and arrangements are as stated in the quotation or otherwise agreed. The earliest pallet-delivery time is 10:00am. Delivery dates are approximate unless a specific commitment is expressly agreed.

6.2  Subject to clause 10 and Schedule A, RAFS is not liable for delays outside its control. Buyers should advise RAFS of access restrictions, booking requirements and any unloading requirements before arrangements are agreed.

6.3  For Business Buyers, risk passes on delivery. For Consumers, the passing of risk is governed by Schedule A. Ownership of Goods passes only when payment for those Goods has been received in full.

7. Inspection and the Enviro Range

7.1  Inspect Goods on delivery and notify RAFS in writing of visible damage, shortages or discrepancies within two working days. Business Buyers who do not report issues reasonably apparent on delivery within this period will be treated as accepting those apparent matters, subject to applicable law.

7.2  The reporting period does not remove rights relating to latent defects and does not restrict a Consumer’s statutory rights. Include the order or invoice reference and supporting photographs where available.

7.3  Enviro Range panels are second-user products and may show wear. They are suitable for recarpeting or overboarding, subject to the individual product description and project specification. Confirm the panel, its condition and the intended finish before ordering. Availability may change.

8. Returns and cancellations

8.1  Business Buyers must obtain RAFS’s consent before returning Goods. Confirmed business orders cannot be cancelled unless RAFS agrees. Agreed returns or cancellations may incur charges; RAFS will explain the applicable charges before the return or cancellation is agreed.

8.2  These consent requirements do not apply to a Consumer exercising a statutory cancellation or other statutory remedy. Consumer cancellation, return and refund provisions are set out in Schedule A. Customers should contact RAFS for practical return instructions.

9. Warranty

9.1  Goods are covered by a 12-month warranty from delivery against defects in materials or workmanship. Wear arising through use or installation is excluded from this contractual warranty.

9.2  Where a claim is covered, the remedy will be repair, replacement or refund. Contact RAFS with the order reference, product details and a description of the issue.

9.3  This warranty is additional to rights that cannot lawfully be excluded. It does not limit a Consumer’s statutory remedies or make the 12-month period a deadline for every legal claim.

Liability, general terms and contact

Clauses 10-13

10. Liability

10.1  Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.

10.2  For Business Buyers only, and subject to clause 10.1 and applicable law, RAFS excludes liability for indirect or consequential losses. Liability for the Goods giving rise to a claim is capped at the price paid for those Goods.

10.3  The business exclusion and cap do not apply to Consumers. For Consumers, RAFS is responsible for loss or damage that is a foreseeable result of its breach of contract or failure to use reasonable care and skill, subject to applicable law.

11. Force majeure

11.1  Subject to clause 10 and rights that cannot lawfully be excluded, RAFS is not liable for failure or delay caused by events beyond its reasonable control, including strikes and supply delays. This clause does not remove a Consumer’s legal rights where delivery or performance does not take place.

12. General

12.1  English law governs the Contract. This does not deprive Consumers of mandatory protections or rights to bring proceedings in the courts available to them under applicable law.

12.2  If a provision is invalid or unenforceable, the remaining provisions continue to apply. Consumer rights and other non-excludable rights are unaffected.

13. Contacts

13.1  For order queries, written issue reports, complaints or cancellation notices, contact info@raisedaccessfloor.co.uk or telephone 01422 374903. Quote the order or invoice reference where available.

13.2  Seller: Raised Access Flooring Supplies Limited. Company number: 09181921. Registered office: Unit 5, Springwood Business Park, Burrwood Way, Holywell Green, Halifax, England, HX4 9BJ.

13.3  Returns destination: [RAFS TO CONFIRM BEFORE PUBLICATION]. Contact RAFS for practical instructions before sending bulky Goods. This request does not make a statutory cancellation dependent on prior approval.

Schedule A | Consumer purchases

This schedule applies where the Buyer is a Consumer. It supplements and overrides any conflicting restriction in clauses 1-13. A business account label alone does not determine a customer’s legal status.

A1. Product rights and prices

Goods must meet applicable requirements as to quality, fitness for purpose and description, taking account of matters such as age, condition and defects specifically disclosed before purchase. Faulty or misdescribed Goods may give rise to a short-term right to reject, normally lasting 30 days from the statutory starting point, and rights to repair, replacement, price reduction or final rejection as the law provides. Services must be performed with reasonable care and skill. Your legal rights are not limited to the contractual warranty.

The total price including VAT and unavoidable charges will be made clear before you commit to buy. Delivery charges, or their calculation where they cannot reasonably be determined in advance, will also be disclosed.

A2. Delivery and risk

Goods will be delivered within the agreed period or, if none is agreed, without undue delay and within 30 days of the Contract. Statutory remedies for late or failed delivery are unaffected. Risk remains with RAFS until you, or a person you nominate, physically receives the Goods, except where you independently appoint a carrier not offered by RAFS.

A3. Cancelling a distance order for Goods

For qualifying online, telephone or other distance sales, you may cancel without giving a reason before delivery and up to 14 days after the day you or your nominee receives the Goods. If one order arrives in separate deliveries or lots, the period runs from receipt of the last relevant delivery. Send a clear cancellation statement to the contact details in clause 13; the form on the next page is optional.

The change-of-mind right does not apply to genuinely made-to-specification or clearly personalised Goods. Standard items are not exempt merely because they are ordered specially. Statutory rights for faulty or misdescribed Goods remain.

A4. Returning Goods and refunding a cancellation

Unless RAFS has offered or is legally required to collect, send Goods back without undue delay and within 14 days after telling us you are cancelling. You pay direct change-of-mind return costs only where the required information was given before the Contract. For Goods that cannot normally be posted, the return cost or a reasonable maximum estimate must be disclosed before purchase. Where the law requires RAFS to bear a return or collection cost, RAFS will do so.

Refunds include the basic outbound delivery charge, not any extra paid for a premium option. Refunds are made without undue delay and within 14 days of receiving the Goods back or, if earlier, evidence of return. If no Goods were supplied or RAFS offers to collect, the deadline is 14 days after cancellation notice. The original payment method is used unless you agree otherwise, without a refund fee. A lawful deduction may apply for diminished value caused by handling beyond what is necessary to inspect the Goods. No restocking fee applies to this statutory cancellation.

A5. Cancelling a distance service contract

For a qualifying service contract with RAFS, the cancellation period is 14 days after the day the Contract is made. Work will start during that period only on your express request. If you then cancel, a proportionate charge for work supplied may apply only where the legal requirements and prior information obligations have been met. The right to cancel ends on full performance only after your express request and acknowledgement that it will be lost. Separate RAFI contracts require their own terms.
